TERMS AND PROVISIONS
1.
All photographic materials (negatives, digital files, transparencies, etc.)
shall remain the sole and exclusive property of PFP Photography. The client
shall be permitted the right to order prints and use such materials at the
agreed-to prevailing rates. PFP
Photography, owns all copyrights. This contract assigns no usage or reproduction rights.
2.
If the client fails to make whatever payments are required under this
agreement, then all obligations of PFP
Photography, shall cease without
any further obligations thereto the ordering party.
3.
With respect to all payments there under, a service charge of 1.5% per month on
any unpaid balance shall be charged. If collection is necessary, the
client shall be solely responsible for all collection costs, including
reasonable counsel fees. Time is deemed of the essence with respect to
all payments there under.
4.
There shall be no liability on behalf of PFP Photography, it’s employees,
agents, assigns or licensees for their nonperformance caused by any force
majored or similar circumstances, illness, accident or any cause beyond their
control; nor for the loss or damage of any photographic materials, whether in
transit or in developing. In any event, the limit of PFP,s Photography, liability shall not exceed the contract price stated herein.
5.
PFP Photography, shall deliver proofs to the client in accordance with those
standards reasonably deemed acceptable throughout the industry. Failure
of the client to object, in writing, to the proofs within ten (10) days after
receipt shall constitute a waiver. Acceptance of prints, transparencies
or albums shall be deemed a release of all claims against PFP Photography, and
their employee, agents, assigns, licensees or legal representatives.
6.
There are no oral or other agreements the parties hereto and this agreement
constitutes full and complete agreement between the parties.
7.
PFP Photography, shall have the right to display or publish any of the
photographs taken pursuant to this agreement and the client hereby agrees and
consents to the same. This agreement qualifies as a model and property
release.
8.
There shall be no refund of deposits paid if the engagement there under is
canceled in any way. The full and
complete sum shall be deemed due and owing before the engagement there
under, notwithstanding subsequent
selection of prints.
9. There
shall be no refunds of pre-paid credit or ala carte items. Substitutions are
welcome.
10.
Due to the
uncontrollable nature of photographic logistics, photographing requests may be
impossible. While every effort will be made, no requests are guaranteed and PFP
Photography, assumes no liability for omissions.
11. This
agreement is not to be construed as an employment agreement in any way. PFP
Photography, functions as an independent contractor.
